TERMS OF USE – BLACK WEEK 2025 OFFER (LIFETIME ACCESS)

1. PURPOSE

These Terms of Use govern the acquisition and access to the Black Week 2025 Combo, provided by ALICE AND ROSA LTD (“the Company”), consisting of the following digital products:

  • Flavour & Textures – format: pre-recorded video lessons

     

  • Colour Mixing – format: pre-recorded video lessons

     

  • Cake Sketching – format: pre-recorded video lessons

  • Ganache for Fillings – format: pre-recorded video lessons

2. DEFINITION OF “LIFETIME ACCESS”

By purchasing the lifetime access plan, the buyer obtains the right to access the content and tools available at the time of purchase for an indefinite period, without additional charges.

The term “lifetime access” shall mean continued access to the purchased content for as long as:

  • the respective digital product remains active and operational under ALICE AND ROSA LTD;
  • the hosting platform remains technically available; and
  • the Company continues its business activities within the digital education sector.

“Lifetime access” does not imply a perpetual contractual obligation for the Company to maintain the product or platform indefinitely.

3. UPDATES, SUPPORT AND NEW PRODUCTS

3.1. The purchaser will receive access to any updates or improvements made to the listed products, provided they maintain the same nature and scope.

3.2. This lifetime plan does not include access to new products created by the Company, even if they cover similar topics.

3.3. For these purposes, “new products” means any course or material created from scratch, rebranded, or substantially reformulated, regardless of similarity of subject matter.

3.4. Technical and educational support will be provided for as long as the producers and the Company remain in operation.

4. DISCONTINUATION AND BACKUP ACCESS

4.1. Should ALICE AND ROSA LTD cease its business operations, change industry, or if the hosting platform is permanently discontinued, purchasers will be notified via email and provided with temporary download links to access the purchased materials.

4.2. Such downloads must be completed within 60 (sixty) calendar days from the date of notification. After this period, access may be permanently discontinued without entitlement to refund or compensation.

4.3. The downloadable content will correspond to the latest available version at the time of discontinuation.

5. COMPANY’S RIGHT TO MODIFY CONTENT

ALICE AND ROSA LTD reserves the right to modify, remove, update, or add new materials within its digital products at its sole discretion, without such modifications giving rise to any right to compensation or refund.

6. CANCELLATION POLICY AND RIGHT OF WITHDRAWAL

6.1. In compliance with the UK Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013, purchasers may exercise the right to cancel within 14 (fourteen) days from the date of purchase.

6.2. However, by accessing or downloading the digital content before the end of this period, the purchaser expressly waives this right, as permitted under the aforementioned regulations.

6.3. After this period, no full or partial refunds will be granted.

6.4. Cancellation requests must be submitted exclusively via email to help@aliceandrosa.co.uk. Requests sent through other channels (social media, private messages, etc.) will not be processed.

7. INTELLECTUAL PROPERTY

All materials (videos, texts, PDFs, images, teaching methods, and other resources) are protected by UK and international copyright and intellectual property laws, including the Copyright, Designs and Patents Act 1988.

Reproduction, distribution, or commercial use of any content, in whole or in part, without prior written authorisation from ALICE AND ROSA LTD is strictly prohibited and may result in civil and criminal liability.

7-A. PROHIBITION OF RESALE AND SHARED ACCESS

7-A.1. Access to the content is personal, individual, and non-transferable. It is strictly prohibited to:
a) share login credentials with third parties;
b) resell, transfer, donate, or sublicense access;
c) display or commercially exploit any part of the content.

7-A.2. Any breach of this clause authorises ALICE AND ROSA LTD to:

  • suspend or terminate access immediately, without refund; and
  • take legal action to protect its intellectual property and recover damages.

7-A.3. The Company may employ technical monitoring and access audits to detect misuse, in compliance with the UK GDPR and Data Protection Act 2018, ensuring data privacy and proportionality.

7-B. PROHIBITION OF UNAUTHORISED REPRODUCTION OR DISTRIBUTION

7-B.1. It is strictly prohibited to record, copy, reproduce, edit, redistribute, publish, or transmit—whether in full or in part—any course videos, PDFs, images, or other content provided by the Company on social media, websites, video platforms, or messaging apps (including WhatsApp, Telegram, Instagram, YouTube, etc.).

7-B.2. Publishing any screenshots, recordings, excerpts, or documents derived from the Company’s materials without prior written authorisation constitutes copyright infringement under the Copyright, Designs and Patents Act 1988.

7-B.3. The Company reserves the right to request immediate removal of infringing materials from third-party platforms under the UK Online Safety Act 2023 and applicable international agreements, and to pursue compensation for damages caused by the violation.

7-B.4. Limited exceptions are permitted for non-commercial sharing of minor excerpts for personal endorsement or commentary, provided they do not disclose instructional content and include proper credit to ALICE AND ROSA LTD.

8. LIMITATION OF LIABILITY

The Company shall not be held liable for:

  • access issues caused by the user’s internet connection or device;
  • temporary unavailability of the hosting platform; or
  • any misuse or unauthorised sharing of login credentials.

Digital products are provided “as is,” and the Company disclaims any implied warranties of uninterrupted operation beyond reasonable control.

9. GOVERNING LAW AND JURISDICTION

9.1. These Terms of Use are governed by and construed in accordance with the laws of England and Wales.

9.2. Any dispute arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

9.3. If the purchaser is a consumer residing within the European Union, they may also rely on mandatory consumer protection provisions of their country of residence.
